Job Overview:
A leading law firm is seeking an experienced associate to join its premier Technology and Life Sciences Transactions practice in Chicago. The ideal candidate will have 5+ years of experience in technology transactions, including in-licensing, outbound licensing, development, collaboration, and other commercial arrangements. Experience with the IP aspects of mergers, acquisitions, divestitures, spin-offs, and joint ventures is also required. The role offers an exciting opportunity to work on complex technology and life sciences transactions, with exposure to a broad range of high-profile clients in the sector.

Location:

Duties:

  • Advise clients on a wide range of technology transactions, including in-licensing, outbound licensing, development, collaboration, and other commercial arrangements.
  • Handle the intellectual property (IP) aspects of mergers, acquisitions, divestitures, spin-offs, and joint ventures.
  • Negotiate and draft technology-focused agreements and contracts, ensuring that the terms align with clients' strategic objectives.
  • Collaborate with colleagues across practice areas to structure and execute complex transactions.
  • Provide counsel on the commercialization of intellectual property and technology rights.
  • Represent clients in both domestic and international transactions involving cutting-edge technology and life sciences sectors.
  • Manage client relationships and lead matters to successful completion.

Requirements:

  • 5+ years of experience in technology transactions, with a strong focus on in-licensing, outbound licensing, and collaboration agreements.
  • Expertise in the IP aspects of mergers, acquisitions, divestitures, spin-offs, and joint ventures.
  • Experience working with broad technology company clients.
  • Strong background in negotiating and drafting technology and IP-related agreements.
  • Ability to manage and lead complex transactions independently.
  • Admitted or eligible for prompt admission to the Illinois bar.
  • Strong communication, organizational, and interpersonal skills.
  • Ability to work effectively with clients, colleagues, and teams across practice areas.

Education:

  • Strong academic credentials required.

Certifications:

  • Admission to the Illinois Bar or eligibility to be admitted promptly.

Skills:

  • Extensive experience in technology and life sciences transactions.
  • Deep understanding of intellectual property law as it pertains to commercial agreements and M&A.
