Associate General Counsel The candidate will be responsible for identifying and helping minimize risks by delivering proactive legal support services that promote business development through practical solutions. Will provide legal advice and services on a wide range of legal matters, primarily focusing on international business expansion, contractual relationships, and data privacy and security. Partner closely with the Chief Compliance Officer, Vice President of International, Vice President of Corporate Development and Vice President of Information Technology and provide hands-on counsel to all levels of the executive staff. Identify and analyze legal issues and present clear recommendations to top management. Negotiate and draft a variety of commercial agreements, including customer, vendor and supplier agreements, consulting agreements, confidentiality agreements, and distribution agreements. Advise company leaders on compliance with data security and privacy requirements, international trade laws, anti-bribery laws, and other applicable laws. Assist with transactions such as mergers, acquisitions, strategic investments and collaborative development projects. Research various non-U.S. laws and regulations, both existing and proposed, affecting international business; formulate and provide appropriate legal guidance. Review proposed policies, procedures and standards and provide legal assessments and recommendations. Advise on general legal, regulatory and compliance matters with respect to ongoing business activities. Assess potential liability risks to company and provide legal advice to executive staff. Manage and provide oversight to outside counsel. Manage legal aspects of contract review and approval. Participate on teams or internal corporate activities beyond specific legal area of responsibility, such as process improvements and policy formation. Other duties designated by the General Counsel from time to time. Must have Degree from an accredited law school of recognized standing. License to practice law in Minnesota required. Should have 7+ years of business law experience in a corporate law department and/or private practice. Experience in international business and operations required. Extensive experience reviewing, negotiating and managing contracts needed. Experience in the medical device or other life science industry desired.
