Assistant Legal Counsel The candidate will provide services to the entire company both domestically and internationally. Principal responsibility will be contract drafting, negotiation and administration. Negotiating and drafting a range of domestic and international commercial and technology agreements, such as sales, vendor and reseller contracts, licensing and distribution agreements, software licensing (inbound, outbound, OEM) agreements, professional services agreements, and product development, content/data and marketing agreements. Advising internal clients on domestic and international legal requirements relating to data privacy and security. Performing other legal work as requested by management, which may relate to intellectual property, human resources, marketing and advertising, securities and corporate governance matters, among other. Assisting in ongoing business relationships with customers, resellers, licensees, suppliers and other business partners. Advising internal clients regarding legal requirements, best practices, and strategies for managing risk. Researching relevant statutes, rulings, and precedents to be used as a basis for answering requests for legal opinions of a routine nature or limited scope. Developing, conducting and managing training programs for clients throughout the company to best ensure legal compliance and protection of RST’s interests in all transactions. Creating and maintaining contract templates and processes. Assisting in dispute resolution matters. Working in a cost-effective manner with outside counsel, as necessary, in the above matters

Qualification and Experience

The candidate should have Law degree from a top-ranked U.S. law school, admission to the bar of at least one state (or bar admission is in process), and willingness to be admitted to local state bar (VA or MA) . Must have 0-3 years of directly related legal experience through a law firm, clerkship and/or in-house legal department. must be an attorney with 0-3 years of experience (either law firm, clerkship or in-house) drafting, reviewing and negotiating a wide range of technology and commercial contracts. Experience with intellectual property (software licensing) and/or data privacy and security matters is preferred. Must have solid contracts experience and the ability to multi-task effectively in a fast-paced environment. Excellent written and oral communication skills needed.
