Corporate Counsel – M&A The candidate will lead and drive mergers and acquisitions and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration. Drive continuous improvements, scalability and operational excellence in deal processes, execution and integration. Engage with corporate development, executive deal sponsors and senior business and functional leaders to drive deal structuring and issue resolution. Draft and help prepare M&A-related board and committee meeting materials. Work on antitrust compliance issues including HSR filings and governmental responses. Help with other special corporate projects Help support corporate governance programs and ongoing securities compliance. Collaborate and build strong relationships with cross-functional teams, including finance, tax, IR, stock admin, accounting, people, corporate development, product, and engineering to manage corporate transactions and initiatives.
Qualification and Experience
The candidate should have a JD, with 5+ years of experience handling complex M&A and other corporate transactions for a large, multi-national public company in a demanding and innovative legal environment; prior in-house experience is preferred. Ability to be the primary in-house attorney on M&A and other corporate projects, including handling multiple simultaneous transactions or projects. Ability to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently while balancing legal risks against business interests. Excellent communication, project management, negotiation and drafting skills, with demonstrated ability to build and scale programs and lead cross-functional initiatives. Flexibility to assist the corporate legal team in its activities and its mission as needs arise.
