Senior Associate General Counsel The candidate will work independently as well as collaboratively with the General Counsel and other attorneys to proactively advise and provide strategic counsel and legal support to internal business partners on a wide variety of matters with emphasis on transactions. Will assist home health, hospice, and personal care service units with their business development efforts and in managing operational issues and relations with employees, independent contractors, and vendors. Interpret and advice regarding applicable laws and regulations. Manage litigation and similar disputes. Provide support to operating units and functional departments. Develop a deep understanding of the business and operational goals of assigned business partners and work diligently to develop and maintain positive relationships with internal clients at all levels of the organization. Comply with applicable legal requirements, standards, policies and procedures including, but not limited to the Compliance Program Code of Conduct, HIPAA and Documentation Standards. Must have a Juris Doctorate from an accredited law school. Should be a Member in good standing of the state bar association in the state where practicing, and eligible for admission to the Texas Bar. Must have 10-15 years of experience as a practicing attorney, preferably with both in-house counsel and law firm experience. Should have solid working knowledge of healthcare laws and regulations, including Medicare, Medicaid, the Affordable Care Act and its implementing regulations, HIPAA, the False Claims Act, Stark and the Federal Anti-kickback Statute. Must have demonstrated experience structuring, negotiating, managing and closing multiple (occasionally simultaneous) transactions and associated integrations, including acquisitions and joint ventures. Experience with employment law and corporate secretary work is desirable. Should have excellent written and oral communication skills, including the ability to tailor styles to different audiences. Must have high level of proficiency in Microsoft Office suite programs (Word, Excel, PowerPoint, Outlook, etc.).
