The candidate will assist on a wide range of complex transactions, including private company equity financings, mergers and acquisitions and energy and telecommunications infrastructure project development. Assist with managing private securities filings, stock and option administration and occasional UCC and real estate matters. Assist with occasional real estate recordings. Prepare initial drafts of simple agreements, consents, certificates and notices. Prepare closing documents, signature packets, and closing binders. Maintain corporate minutes and capitalization tables, including using online platforms (e.g., Carta). Assist with corporate governance, formations, and dissolutions and special projects as needed. Draft and type general correspondences, memos, charts, tables, graphs, etc. Proofread drafts for spelling, grammar and layout consistency, making changes when appropriate. Responsible for the accuracy and clarity of final copies. Manage mailings and notice delivery as needed. Must possess great verbal and written communications skills, strong attention to detail, excellent analytical skills, and sound judgment. Must have College Degree or Paralegal Certificate. Should have 5+ years’ paralegal experience in general corporate, finance, and/or securities law. Must be computer literate, with proficiencies in the Microsoft Office Suite. Experience with e-Sign platforms and Carta (or similar cap table management platform) preferred.
