Counsel RESPONSIBILITIES: Responsibilities include negotiating, drafting and closing a wide variety of complex client contracts, and related contracts, including for employment tax filing services, unemployment compensation management services, employment verification services, wage payment and garnishment services, and health compliance services, under limited supervision. Focus is client contracts and documents related to client contracts; however, additional responsibilities will include conducting periodic training on the services agreements and the contract process in general for Sales; assisting in connection with responses to RFPs; and negotiating and drafting professional services agreements, nondisclosure agreements, and other legal documents. In addition, the position will require providing general legal advice as required on other matters relating to the Compliance Solutions business unit. The position interfaces with all levels of Legal and Corporate Management, including Sales and Business Operations.
Qualification and Experience
QUALIFICATIONS: Bar membership required (Georgia Bar preferred). Seeking a candidate with excellent academic credentials and 5-7 years of relevant experience, preferably with a top law firm or corporation, and preferably with a focus on outsourcing. Experience with software licensing, e-commerce and other technology-related contracts useful. Excellent verbal and written communication skills, one-on-one negotiation skills and time management and project management skills necessary. Some travel may be required. PREFERRED: Contract negotiation. Dispute resolution. Analysis and management of contractual risk and exposure. Must have a superior knowledge and application of contract and business law with strong legal analysis skills and judgment. Must demonstrate ability to be assertive while maintaining diplomatic and professional demeanor. Excellent legal drafting skills. Demonstrated understanding of software, hardware, telecommunications and related technology is necessary. Excellent communication skills and the ability to work under pressure and meet critical deadlines are necessary. Must have excellent interpersonal skills to work with all levels of ADP and vendor management/attorneys.
