Senior Corporate Counsel The candidate will provide corporate and commercial legal services to in-house clients across multiple functions at firm. Reports to the Associate General Counsel, and works directly with Rocket's business operations. Principal duties include structuring, drafting and negotiating commercial agreements, including direct sales and partner agreements, professional services, procurement and SaaS agreements, technology licenses, and confidentiality agreements. Duties also include: serving as lead counsel on strategic deals; support and counsel for growth and integration of acquired global businesses; resolving issues that arise in existing commercial relationships, handling pre-litigation disputes and inquiries; due diligence for M&A activity; and identifying and implementing legal process improvements. Developing a thorough understanding of Rocket’s business, products, markets, customers and partners in order to identify trends and formulate effective compliance strategies. Counseling the business team on legal issues and risks, business strategies, complex deal structures, approval processes, intellectual property and other issues related to technology transactions. Counseling other members of the legal department in areas of expertise. Independent management and resolution of assigned projects. Leading critical, complex legal transactions and negotiation. Developing, drafting, reviewing, editing and finalizing a wide range of complex, value added transactional legal documents with multiple elements of delivery, including: reseller/distribution agreements; master agreements; professional services agreements; OEM/ISV agreements; channel distribution programs; maintenance programs and agreements; consulting and advisory agreements; teaming, outsourcing, hosting, PaaS and SaaS agreements; and other technology agreements, while working collaboratively with the business team, including executives. Analyzing contract terms & conditions, requirements and special provisions to ensure compliance with appropriate laws and corporate policies; providing advice to the management team, the negotiation team and other Counsel; advising product teams on appropriate commercial structure for new product offerings. Managing and performing legal due diligence and supporting integration of acquisitions. Preparing template software product sales and service agreements; cloud computing agreements; partner/supplier agreements; licenses; distribution and supply agreements for product offerings. Best practices/plain English drafting. Reviewing marketing/advertising materials. Providing legal support and guidance for internal functions, including human resources, product development, compliance, risk management, product sales, services, procurement, operations and finance. Placing special emphasis and focus on cost efficient delivery of prompt, responsive and quality legal service, including effective management of outside counsel.
Qualification and Experience
The candidate must have Juris Doctorate degree from ABA accredited law school; excellent academic credentials. Must be admitted and in good standing before State Bar. Must have 10+ years of combined training in a law firm and in-house legal position. Extensive experience in software and other high technology industry is essential. Experience in international transactions is essential. In-depth, broad experience with technology sales, licensing and procurement transactions and related distributor, reseller, cloud computing, and software product and services agreements is essential. Must have ability to draft, review and negotiate complex IT contracts. Knowledge of pertinent laws, including distribution, software licensing and intellectual property, international corporate law, export control, US and other anti-trust laws, and other competition, anti-corruption, data privacy and security laws is essential. Knowledge of US GAAP principals and the revenue recognition rules within the software industry is essential.
