Corporate Counsel The candidate: Protects legal interests and maintains its operations within the scope established by law through support of the Managing Counsel, Associate General Counsel (AGC), and Chief Legal Officer (CLO). Provides hands-on legal counsel to executive staff and all levels of management. Identifies and analyzes legal issues pertinent to the firm and its interests, and assists in the development of clear recommendations regarding legal obligations and options. Working under limited supervision by the Managing Counsel, AGC, and CLO, the Corporate Counsel is responsible for the negotiation, drafting, and execution of legal documents, for example: customer contracts (including strategic and complex managed care arrangements); vendor contracts; leases; employment agreements; non-disclosure and Business Associate agreements; corporate and LLC documents; meeting minutes; and purchase and sales agreements, etc. Assists in coordination of all eviCore’s overall response to legal complaints and litigation, including discovery matters. Drafts company policy, procedures, and compliance-related documents as assigned. Performs research, drafts research memoranda (as assigned), and provides legal interpretation of relevant statutes, regulations, and accreditation standards. Other duties as necessary. Should have 3+ years as a practicing attorney, with at least a portion of practice focused on the negotiating and drafting of commercial transactions. Should preferably have 5+ years of practice experience, with background in healthcare transactions or managed care in a law firm or in-house setting. Must be a graduate of an accredited law school and admitted and in good standing with an appropriate state bar. Additional relevant education (e.g., LLM or MBA) preferred.
