A law firm is seeking a Mid-Level Employee Benefits/Executive Compensation Associate Attorney to join their Dallas, TX office. The ideal candidate will have extensive experience in employee benefits and executive compensation law, demonstrated by a high level of academic achievement and prior law firm experience. This role requires exceptional writing, drafting, and communication skills, with a focus on handling complex benefits and compensation matters, including plan design, implementation, and administration, as well as executive compensation in the context of mergers and acquisitions.

Duties and Responsibilities:

  • Draft, design, and implement tax-qualified and non-qualified retirement plans, as well as health and welfare benefit plans.
  • Manage and administer employee benefits programs, ensuring compliance with relevant laws and regulations.
  • Provide legal counsel on executive compensation and benefits aspects related to mergers and acquisitions.
  • Address taxation issues concerning executive compensation arrangements, including compliance with Sections 409A and 280G of the Internal Revenue Code.
  • Design and draft employment agreements and various executive compensation arrangements.
  • Conduct legal research to stay current with changes in laws and regulations affecting employee benefits and executive compensation.
  • Prepare and review legal documents, correspondence, and reports.
  • Communicate effectively with clients, colleagues, and other stakeholders to provide strategic guidance.
  • Support and mentor junior attorneys and staff, contributing to their professional development.

Requirements:

  • 3+ years of experience in employee benefits and executive compensation law.
  • Demonstrated experience in drafting, designing, implementing, and administering retirement and benefit plans.
  • Knowledge of executive compensation and benefits issues in mergers and acquisitions.
  • Experience with taxation issues related to executive compensation arrangements.
  • High academic achievement with a strong record in law school.
  • Exceptional writing, drafting, and communication skills.
  • JD required.
  • Prior experience in a law firm is preferred.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to the Bar and in good standing.
