Of Counsel, Tax Planning and Business Transactions The candidate will primarily focus on assisting the practice of the Section Head of the firm's Tax Planning and Business Transaction Section, whose practice mainly comprises of tax and corporate matters, including but not limited to, M&A transactions, the formation, governance, reorganization and internal restructuring of corporations, partnerships and limited liability companies to achieve tax and corporate objectives. Must have experience in tax planning and corporate aspects of various transactions such as, structuring and drafting documents for business acquisitions and sales, corporate reorganizations, mergers, conversions, recapitalizations, admissions of and providing equity incentives for management and key employees, as well as choice of entity considerations, and state tax planning. Must have 8+ years of experience with strong drafting skills and that can work with little guidance.

Pros : The work place is something that I think is the biggest difference between this firm and others I have worked for in the past. My superiors really cared about making sure each associate was working on a case to the best of their abilities. Customer and client satisfaction is something that is always emphasized here. My superiors also make sure that they take the time to really talk to the associates instead of just delegating and trusting that the quality is preserved. And I think it's because of this focus that I have been able to really feel proud about the work I put in.
Cons : Since quality is a big focus, there are sometimes long hours that associates have to deal with. It is something that is corrected though since the firm has great pay and benefits.
