Legal Counsel - Enterprise The candidate will report to the Director Legal Counsel and support company's Enterprise business division in the US and Canada. Will focus on drafting and negotiating complex commercial transactions involving cutting-edge technology solutions as part of a multi-disciplinary negotiation team consisting of sales, finance, product managers, engineers, and data security experts etc. Draft and negotiate varied and complex commercial agreements for embedded software licensing, hosted services, professional services and data security agreements with business customers and large multinational distributors and resellers. Interact with and provide legal advice to sales department on a day-to-day basis. Coordinate with revenue finance team, sales operations team and various members of company's Enterprise business management team. Advise the business team on the various legal issues and risks, business strategies, complex deal structures, approval processes, intellectual property and other issues related to technology transactions. Develop a thorough understanding of and familiarity with the company's business, its people, products, markets, customers and partners in order to identify trends and formulate effective strategies. Assist on other legal matters (i.e. commercial/corporate/IP/regulatory) as needed/assigned.
Qualification and Experience
The candidate should have a B.A. or B.S. degree. Should also have a J.D. degree from an accredited law school with strong academic performance. Should be licensed to practice law in the US, preferably MA or NY. Must have 5-10 years of work experience. Should have demonstrable knowledge and experience of handling complex commercial and technology transactions (ideally with a focus on software licensing, SaaS and related services). Experience of providing legal support to a sales team is required. Should have strong negotiation skills for the purpose of educating and persuading others and negotiating contractual agreements. Ability to quickly understand business needs and act to influence and persuade others in a manner that protects the company and aids in meeting/exceeding our revenue targets and maintaining a competitive edge is needed. Flexibility and willingness to work on a broad variety of legal matters is essential.
