Senior Counsel, Content & IP Duties: Take primary responsibility for negotiating and drafting development, production, and distribution agreements, including joint ventures, co-productions, and derivative product licensing and development, in support of the various in-house units creating podcasts and other digital, on-demand audio content. Structure, draft and negotiate complicated technology, distribution, licensing, marketing, advertising, and other agreements and provide ongoing legal counseling in a wide range of legal areas, including talent management, guild agreements, employment issues, intellectual property, digital media, and regulatory compliance. Provide ongoing counseling regarding content development, production, and distribution, including music content and other business ventures, as needed. This will include drafting, reviewing, and negotiating a variety of legal agreements such as content licensing agreements, co-production agreements, joint ventures, recording agreements, distribution agreements, and digital media agreements. Oversee the work of paralegals with respect to intellectual property clearances and music royalty agreements. Advise on, negotiate, and draft agreements for derivative products, including television (including new media), feature film, publication, games, live touring, and merchandise. Participate in the evaluation and negotiating of business/corporate development opportunities, including mergers, acquisitions, partnerships/ joint ventures, and divestitures. Provide oversight to outside counsel, consultants, and other professional service providers; manage related costs. Liaise with other departments of the APMG family to advise on rights issues and ensure compliance with contractual and legal obligations. Counsel on privacy issues related to broadcast and web-based programming, e-commerce websites, and data collection and use and drafting terms of use and privacy policies for mobile applications and social media platforms. Supervise the rights clearance process and archival licensing process of paralegals. Research music ownership and negotiate with labels and music publishers. Build and maintain strong relationships with third-party talent, production companies, labels, artists, studios, publishers, producers, various guilds, and music/performance associations (e.g., SAG-AFTRA, AFM). Perform other duties as assigned.

Qualification and Experience

Required Qualifications: A Bachelor’s Degree and Juris Doctor (J.D.) Degree. Admitted to and in good standing with bar in the home jurisdiction. 4-7 years of relevant work experience; including work within or as outside counsel to sophisticated production companies and/or national media companies and/or nonprofit organizations, with particular emphasis on intellectual property and/or broad-based tax-exempt matters. Knowledge of agreements relating to the development, production, distribution, sales, marketing, and financing of recorded audio/visual and/or music products. Demonstrated experience advising clients in structuring complex transactions, including broadcast, digital, and/or new media content. Experience in drafting licenses and intellectual property agreements, guild management, and sponsorship requirements. Knowledge of all laws applicable to protect the company against legal risks. Strong computer skills including Word, Excel, Outlook, and PowerPoint. Demonstrated commitment to equity, inclusion, diversity, and access (EIDA) and contributing to an inclusive work environment. Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure. Strong analytical skills. Strong communication skills dealing with senior management, external contacts, human resources, finance, technology, and all levels of employees. Ability to negotiate on behalf of the company and also internally to accommodate supervisory requests while minimizing legal risks. Professional with a demonstrated ability to exercise a high degree of sensitivity, discretion, and confidentiality.
Preferred Qualifications: Admission to the Minnesota, California, or New York Bar. Familiarity with the processes for trademark registration, protection, and maintenance. Familiarity with music publishing and other music industry issues. Understanding of nonprofit legal matters, including federal and state regulatory issues. Transactional music business experience or other related experience.
