Job Overview

This role involves providing legal expertise in energy transactions, project development, and financing for various energy projects, including wind, solar, natural gas, and bioenergy. The ideal candidate will have a strong understanding of complex legal agreements, supply chain issues, and financing within the energy sector. This position requires independent work on transactions, collaboration across practice groups, and a client-focused mindset.

Duties

  • Provide legal advice on energy-related transactions, including project development, financing, and due diligence.
  • Draft and negotiate contracts such as EPC (Engineering, Procurement, and Construction) agreements, supply contracts, and O&M (Operations & Maintenance) agreements.
  • Advise clients on issues relating to international trade restraints and their impact on renewable energy projects.
  • Develop and review power purchase agreements and site control documents.
  • Collaborate with legal teams across different offices to provide comprehensive client services.
  • Independently produce client-ready legal documents and handle complex energy-related transactions.

Requirements

  • 7+ years of legal experience in energy transactions, project development, and financing.
  • Proven expertise in drafting and negotiating complex agreements related to energy projects.
  • Experience advising clients on international trade issues affecting energy development.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Strong communication and organizational skills.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Must be a member of the Minnesota State Bar (or able to become a member shortly).

Skills

  • Expertise in energy law, particularly renewable and traditional energy development.
  • Strong understanding of legal aspects of project financing and energy transactions.
  • Excellent negotiation and contract drafting skills.
