A law firm in Raleigh, NC, is seeking a Mid-Level Life Sciences AgTech Transactions Associate Attorney to join their team. The candidate will be responsible for drafting and assisting in complex transactions with significant bio-dollar valuations across various therapeutic indications and platform technologies. They will also handle smaller transactions, review agreements, and provide client counseling with minimal supervision. Experience in gene editing, crop trait development, immuno-oncology, and gene therapy is advantageous.

Duties and Responsibilities:

  • Draft and assist in negotiating complex technology transactions in the Life Sciences and AgTech industries.
  • Handle agreements including licensing, collaborations, product rights acquisition, joint ventures, co-development/co-promotion, supply, manufacturing, services, clinical trial agreements, sponsored research, university licenses, and material transfer agreements.
  • Conduct legal research and analysis related to transactional matters and regulatory compliance.
  • Provide strategic advice and counsel to clients on technology transactions and intellectual property issues.
  • Review and interpret scientific and technical documents related to Life Sciences and AgTech.
  • Collaborate with clients, scientists, and business teams to facilitate effective transactional outcomes.
  • Assist in due diligence investigations and transactional closings.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the North Carolina State Bar; additional bar admissions are advantageous.
  • 4-6 years of leading law firm experience in tech transactions specific to the Life Sciences and/or AgTech industries.
  • Strong academic credentials; background in hard science education is a plus.
  • Experience drafting, reviewing, and negotiating technology transaction-related documents.
  • Technology fluency in gene editing, crop trait development, immuno-oncology, or gene therapy is preferred.
  • Excellent written and verbal communication skills.
  • Ability to work independently and collaboratively within a team environment.
