Senior Counsel - Treasury Management
Duties: Provide general legal advice and support to treasury management on a wide variety of matters of varying complexity relating to the broad array of the Company’s treasury management products and services, including deposit services, payments, receivables, liquidity management, digital Treasury services, and commercial cards. Extensive interaction with business and other stakeholders at all levels, including Product, Sales, Technology, Operations, Risk, and Compliance. Counsel the business on product development, new business initiatives, and legal and regulatory matters including trends and evolving issues, including, data privacy, data governance, and third party vendor guidance). Draft, review and negotiate customer and vendor agreements, resolve customer matters, review marketing materials, conduct training for the business, as necessary, and monitor legislative, industry, and regulatory changes applicable to the treasury management business, which includes changes to NACHA and other payment system rules. Participate in special projects and assignments as needed.

Qualification and Experience

Qualifications: J.D. Degree from an Accredited Law School. Currently Licensed to practice in one or more states. 8+ years of experience, with 5+ years representing financial institutions in the treasury management area. General knowledge of banking law, as well as knowledge of Articles 3, 4, and 4A of the Uniform Commercial Code. Familiarity and experience with legal issues arising out of payment systems and cash management services such as wire transfer, ACH, lockbox operations, invoice automation and receivables processing, use of check images, etc. Strong contract drafting, negotiating, and issue-spotting skills. Regular experience with complex deals, and demonstrated ability to identify and analyze issues and develop recommendations. Knowledge of government contracting issues is a plus. Meaningful experience with payment systems and cash management services outside the U.S. is beneficial. Strong judgment, sound decision-making, and solid legal analysis, and oral and written communication skills. Ability to effectively interact with line of business managers and other attorneys. Ability to represent the Company effectively in interaction with external counsel for the Company and with counsel representing other parties. Self-starter with the ability to work both independently and collaboratively, as appropriate.
