Assistant General Counsel Duties: Responsible to provide legal advice and representation on a variety of business and regulatory issues, including but not limited to provider payment and contracting, credentialing, information technology contracting, vendor and supplier contracting, privacy and security issues, and employment law matters. Support the Associate General Counsel and Senior Vice President & Chief Legal Officer in managing and coordinating responses to litigation and to government audits and investigations. Participate in product development, implementation and management, including the provision of legal advice with respect to Medicare Advantage plans, Medicaid managed care plans, and products sold in the commercial individual health insurance market. Understand business operations and goals, and the regulations and government contract requirements affecting business. Participate in committees and workgroups as appropriate, including but not limited to the Reimbursement & Contracting Strategy Committee, the Privacy & Data Security Committee, and the Credentialing Committee. Advise the Provider Relations & Contracting Department on provider contract issues and maintain and update provider contract templates consistent with current business and regulatory requirements. Respond to requests for advice and proactively identify potential legal issues; conduct related research and analysis, and clearly communicate advice and recommendations, including options where appropriate. Review, draft, and negotiate as appropriate, contracts with vendors, working with business leaders to address business goals and communicate legal risks; assist the Associate General Counsel in overseeing Corporate Paralegal in managing vendor contract files. Support Associate General Counsel and Chief Legal Officer in managing litigation, including working with outside counsel, determining strategy, and responding to discovery requests. Collaborate with Corporate Paralegal in maintaining and updating contract templates for vendors and delegates, including information technology licensing, purchase and maintenance agreements, and advise the Paralegal in responding to variations from template language. Advise Compliance, Accounting and Government Relations Departments regarding regulatory audits and investigations, as determined by the Associate General Counsel and/or the Chief Legal Officer. Provide legal guidance as appropriate to the Privacy Officer, Information Security Officer and to business leaders facing data privacy issues. Participate in legal workgroups sponsored by industry associations, such as the Minnesota Council of Health Plans and America’s Health Insurance Plans. Provide legal services as otherwise determined by the Associate General Counsel and/or the Chief Legal Officer. Other projects and duties as assigned.

Qualification and Experience

Qualifications: JD Degree from an accredited law school. Licensed in good standing to practice law in the State of Minnesota or be eligible for membership in the Minnesota Bar. 3 years of progressively more responsible experience in-house and/or with a large law firm. An experienced health lawyer representing provider and/or health plan clients. In the alternative, we would have interest in a well-rounded business lawyer, corporate generalist, and/or counsel with experience advising on labor and employment law issues.
