Staff Counsel I - Mergers & Acquisitions The candidate will be a critical member of a collegial team responsible for managing all legal aspects of the company’s active M&A program and will have the ability to advance as develop critical skills and demonstrate readiness for increased responsibility. Responsibilities will include the following: Managing due diligence reviews of potential acquisition targets and coordinating with cross-functional teams within firm to identify and analyze legal and business risks. Appropriately escalating issues, and assisting senior attorneys in escalations. Preparing contract summaries and/or issues lists for senior attorneys and/or business partners. Drafting and negotiating ancillary transaction documents under the supervision of senior attorneys. Preparing legal presentations for the senior attorneys, and presenting to business leaders, as appropriate. Demonstrating a comprehensive understanding of firm’s operating model and growth strategy. Monitoring compliance with internal business and legal processes and policies. While will focus on mergers & acquisitions, there likely will be opportunities to assist with securities and corporate governance matters, such as capital markets transactions, SEC filings, Board and Committee materials, and other special projects.

Qualification and Experience

The candidate should have Juris Doctor Degree with excellent academic credentials. Must be member of a state bar in good standing. Should have 2+ years of legal experience in a corporate legal department or law firm. Experience with basic corporate law principles and contract drafting, familiarity with mergers and acquisitions a plus. Must have enthusiastic interest in learning about mergers and acquisitions, joint ventures, equity investments and similar corporate transactions. Should have ability to work under pressure and manage multiple projects in an efficient and timely manner. Must have ability to work independently with direction and guidance from senior attorneys and collaboratively with others in a collegial, fast-paced team environment. Proactive problem-solving approach are required. Should have exceptional communication skills with strong attention to detail.
