ProfileChief Legal Counsel Duties: Responsible for overall direction, leadership and executive management of legal and risk services, including oversight of issues involving compliance with laws, regulations and policies throughout the system. Serve as a trusted advisor to CEO, the Board of Directors and system entities, locations, and leadership. Interface with the executive leadership team, the board of directors, and key stakeholders on legal issues. Participate in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Perform the function of corporate secretary and guide and advise both the CEO and the Board of Directors on matters of strategic legal importance, corporate governance-related matters and best practices, including any governance restructuring and maintenance of corporate records. Actively participate as a member of the executive leadership team, providing multi-functional leadership and critical thinking on all business matters, legal and risk issues, incorporating mission and vision in all decisions as well as fostering an organization responsive to the needs of the communities it serves; counsel on the business, legal and risk ramifications of significant strategic initiatives. Develop and maintain Articles of Incorporation and Bylaws for and its subsidiaries, and assist in the monitoring of compliance with bylaws, policies and procedures. Provide ongoing legal counsel and oversight of all regulatory risks and maintain understanding of all health care regulations and public policy, Stark and anti-kickback regulations, major federal laws, applicable state laws and related regulations that govern the provision of not-for-profit healthcare services. Advise on the litigation risks of possible business decisions and other forms of litigation, including malpractice litigation; provide preventive counseling with respect to the legal risks associated with business practices, and develop strategy with both inside and outside counsel in response to civil litigation and regulatory inquiries (including negotiating settlement agreements), and cost-effectively manage the resources required to address those matters. Negotiate corporate contracts involving complex business transactions. Serve as key legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures; negotiate, draft and advise on existing and potential transactions, joint ventures and partnerships on both the payer and provider side, including contractual relationships with clinically integrated networks (CINs) and other population health agreements. Provide legal expertise and counsel and operating entities with respect to all matters impacting the organization, with particular expertise on mergers and acquisitions, joint ventures and other transactions, including compliance with the Federal Trade Commission and/or other federal and state regulatory bodies; participate actively on the team responsible to coordinate and manage related processes especially during the due diligence, merger and transitional phases. Judge the merits of major court cases filed, works with the appropriate executives to define a strategic defense and approves settlements of disputes, where warranted. Ensure that conducts its business in compliance with applicable laws and regulations. Oversee the selection, retention, management and evaluation of all outside counsel. Provide advice on legal aspects of financing, including assessing and advising on current and future business structures and legal entities. Provide guidance relative to all employment law matters. Develop and lead corporate legal strategy to promote and protect interests. Determine what legal activities can be done “in-house” and what needs to be delegated to “outside counsel;” set appropriate service standards for the department; oversee and manage a complex network of external service providers, including outside counsel and advocacy consultants, to maximize resources and achieve optimal outcomes. Partner with the Finance team in support of the internal audit and corporate compliance programs. Structure and manage legal services and resources team to accomplish corporate goals, strategies and priorities. Maintain proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large.
Qualification and Experience
Qualifications: JD Degree from a U.S. ABA accredited law school and the ability to practice law within the state of Oklahoma. 10+ years’ experience in Healthcare law, including experience in a large law firm with healthcare expertise and/or experience as a general counsel or deputy general counsel of a healthcare system (multi-entity / multi-location healthcare system experience preferred); experience working on matters of corporate governance and with a board of directors; substantial experience and recognized expertise in all major laws and regulations governing the day-to-day operations of a large health care system that includes healthcare insurance; significant experience with healthcare transactions, mergers, acquisitions and joint ventures on both the provider side; experience in leading teams of attorneys and outside counsel. Admission to and good standing within the United States; an active license to practice law in Oklahoma shall be a condition of employment. Extensive knowledge of health care laws including Stark, Anti-kickback, False Claims Act and familiarity with licensure, certification and accreditation requirements is essential. Knowledge of and experience with healthcare transitions including joint ventures, affiliations, and M&A.. Extensive knowledge of nonprofit corporate governance laws. Extensive knowledge of corporate transaction and contracting processes, including reviewing, drafting, revising, negotiating, and finalizing contracts and structural deal terms. Ability to engender trust among business colleagues, providing cogent and timely advice and counsel and non-lawyers will both understand and heed. Exceptional written and verbal skills, including ability to communicate complex legal and compliance concepts in a clear, concise, and practical manner to many audiences, including executive leadership, board members and external audiences. Ability to anticipate, manage, and respond to legal and business needs. Superior analytical and problem solving capabilities. Strong negotiating skills and ability to influence and persuade. Demonstrated ability to perform at high level in a fast-paced, dynamic environment with shifting priorities.
