Corporate Counsel II Working under the supervision of the VP-Legal Services, the candidate will be primarily responsible for providing legal advice, guidance and support to the company’s performance services business units, and as necessary or desired, various other business units of the company. Work independently on complex legal matters with little or no direction and assumes ownership of all assignments. Design, draft, review and negotiate complex agreements across multiple areas of business, including software agreements, data licensure, research operations, IRB documentation and supply chain services, and data licensing. Responsibility include negotiates and approves supplier, data license, consulting and related agreements. This position will also assist with related acquisition integration matters. Draft, negotiate, review, and approve contracts and amendments prior to execution by management. Provide counsel to business unit leadership with respect to contractual and regulatory issues. Research legal issues and keep current with case law and court opinions. Assist General Counsel and Sr. Corporate Counsel with transactional matters, special projects and governmental/media relations matters as needed. Coordinate risk management and litigation issues with outside counsel. Respond to inquiries from company Members. JD required. Law degree with strong academic credentials; top 25% of class preferred Transactional experience/contract law preferred. 6+ years of relevant experience required; 10+ years preferred. Transactional experience supporting a healthcare, consulting, software or data company required. Healthcare transactional experience representing providers and/or life sciences companies required. In-house legal counsel required. Experience with data privacy and HIPAA matters required. Experience with SaaS agreements, privacy, security, compliance, and regulatory matters required. Knowledge of contract law and law pertaining to data privacy and HIPAA regulations required. Excellent analytical, written, verbal and interpersonal skills required.
