Assistant Corporate Secretary Responsibilities: Attendance at BRT meetings and other preparation sessions for governance developments, when needed and as appropriate. Preparation of briefing documents for Management and Government Affairs Teams on developments in corporate governance and securities laws. Formulating and preparing communications on reforms in the areas of corporate governance and securities law. Collaborate with the Corporate Governance team on ESG issues, including the formulation of ESG policy and disclosure as well as helping manage ESG-related engagements. Assist with the shareholder engagement process, including the preparation of talking points and, as appropriate, seeking SEC No Action relief on shareholder proposals. Engage and build connections with various external groups and corporate governance peers at other public companies. Advise on compliance with securities laws and regulations, including those of the U.S. Securities and Exchange Commission and New York Stock Exchange. Help advise on Section 16 compliance, including preparation of Form 4 for Executive Management and Board members. Assist in the preparation and review of the annual Director & Officer Questionnaire; assess and manage conflicts of interest and manage and draft the Director & Executive Officer Related Party Transactions & Independence memos in collaboration with Finance.

Qualification and Experience

Qualifications: A law degree from an internationally or nationally recognized university is required along with active registration, in good standing, with a state Bar. JD degree from nationally recognized university, with all bar admissions in good standing. 3-5 years at a law firm or in-house legal department of a multinational corporation is required, preferable in corporate. A positive attitude and the ability to work independently and across business functions and cultures are required. Preferred: Educational and/or work experience in the U.S. or with a U.S. based multinational corporation is preferred. Prior experience in the life sciences industry is preferred. Experience and expertise in US securities law and corporate governance matters is strongly preferred. Must be fluent in both written and spoken English, be able to communicate effectively, and demonstrate the ability to counsel senior management.
