Job Overview:
A prestigious law firm is seeking a Junior Associate to join its dynamic Financial Services Practice. The ideal candidate will have 2-3 years of experience in project finance, with exposure to a wide range of project financing transactions, including tax equity bridge loans, backleverage financings, and pre-NTP financings. Experience on both the lender and borrower sides is acceptable. The role involves working on drafting and negotiating various agreements, including credit facilities, security documents, supply agreements, and project-related contracts. Location:

Duties:

  • Draft and negotiate project finance documents, including credit facilities, depositary accounts agreements, letters of credit, performance bonds, and payments bonds.
  • Review and draft various project-related agreements, such as balance of plant agreements, supply agreements (transformer, module, BESS, turbine, inverter), offtake, and tolling agreements.
  • Prepare and review security documents, including security agreements, pledge agreements, financing statements, and control agreements.
  • Draft legal opinions governed by New York law, direct agreements, consents to collateral assignments, and reliance letters.
  • Conduct due diligence and prepare bankability analysis on project documents.
  • Collaborate with colleagues and clients to structure and close complex transactions.
  • Assist in providing legal advice on project finance structures and agreements.

Requirements:

  • 2-3 years of experience in project finance, preferably with both lender and borrower-side exposure.
  • Familiarity with LSTA Credit Agreements, New York law-governed Security Documents, and Project Documents (EPC Contracts, Offtake Agreements, Supply Agreements, and Reliance Letters).
  • Ability to manage multiple tasks in a fast-paced, deadline-driven environment.
  • Strong interpersonal skills, with the ability to work independently and as part of a collaborative team.
  • Ability to take initiative and demonstrate strong attention to detail.
  • Excellent communication skills, both written and verbal.

Education:

  • . from an accredited law school.
  • Strong academic credentials required.

Certifications:

  • Admission to the Bar in the state of employment (or readiness to become licensed in the jurisdiction).

Skills:

  • Project finance expertise, including understanding of project finance structures and legal documentation.
  • Proficiency in drafting and reviewing project-related contracts and security documents.
  • Knowledge of financial documents such as credit facilities, letters of credit, and performance bonds.
