Commercial Counsel The candidate will be advising on risks and liabilities of proposed commercial transactions and devising creative and practical legal solutions to meet business objectives. Will be drafting and negotiating a variety of commercial agreements, including inbound vendor and consultant agreements and outbound commercial agreements for our enterprise, industry partnership and business development teams and other clients. Work closely with the Product and Engineering teams to advise on new features and business initiatives to ensure compliance with regulatory and contractual obligations. Assisting the Legal and Compliance teamâ€™s efforts in the preparation, implementation and refinement of forms, processes and procedures. Providing advice and counsel to business team leaders on a wide variety of legal matters, in consultation with other members of the Legal and Compliance team and outside counsel, as necessary. Obtaining and maintaining a strong knowledge of the company, its mission, strategy and values, product and service offerings, and objectives of supported business units. Providing substantive support for the rest of the Legal and Compliance team on an as-needed basis. Keeping abreast of applicable laws, regulations and industry guidance that impact firm commercial agreements and business practices.
Qualification and Experience
The candidate should preferably have 4-7 years of relevant experience, and prior in-house corporate counsel experience. Must be admitted, and in active and good standing with the California State Bar (or able to register for California State Barâ€™s in-house counsel program). Should have experience advising clients in structuring complex commercial transactions. Should be highly analytical and have exceptional business and legal issue identification and problem-solving skills. Should have practical, business-oriented approach to problem-solving and be able to effectively counsel internal clients by providing them with clear, concise and commercial advice, and creative solutions where necessary, on timelines to meet business needs and within the confines of the relevant legal and regulatory landscape. Experience working in or with higher education is preferred. Marketing and product counseling experience is preferred.
