Legal Assistant/Paralegal/Equity Analyst Duties: Review legal documents, including notices, correspondence, and manage calendar of corresponding due dates/deadlines. Initiate and track payment of invoices pertaining to departmental expenses, outside counsel, and intellectual property related services. Prepare documents necessary to comply with federal, state and local regulations in the conduct of business activities. Draft memorandums, correspondence, reports and other documents as requested. Prepare and handle all equity administration using an outside administrator (Equity Edge). Manage equity grants, cancellations, Employee Stock Purchase Plans, etc., performing all associated activities, including document preparation. Prepare and file Form 3 and 4 for directors and Section 16 officers. Maintain beneficial ownership of securities as well as derivative securities for each director and Section 16 officer. EDGARize and file 8-Ks and other SEC filings as required. Assist General Counsel in all Board-related activities including maintaining corporate minute books and corporate compliance filings for Cutera and its affiliates. Perform legal research to identify issues, determine supporting/contrasting legal authority and arrive at legal conclusions/recommendations. Serve as point of contact for Cutera’s registered agent, maintain Cutera’s registration to conduct business in each state where qualified by filing annual reports as required by each state. Provide assistance to other departments requiring legal assistance. Review and prepare contracts as requested. Facilitate signing of contracts in accordance with the corporate authority guidelines and maintain signed contracts in company database(s). Prepare distributor agreements, amendments, letters of authorization, etc. Liaise with distributor and country managers to assure agreements are signed and all documents required for distribution of products is complete for specific country. Maintain copies of all documents related to distributor agreements in company database. Perform other duties as assigned.
Qualification and Experience
Requirements: Paralegal Certificate and/or Bachelor’s degree or equivalent experience. Certified Equity Professional a plus. 5+ years as a corporate paralegal or experience as a legal secretary. Solid knowledge and understanding of legal terminology and procedures. Experience and understanding of equity administration. Experience with SEC filing and the SEC’s Electronic Data Gathering, Analysis, and Retrieval system (EDGAR). Extensive experience with Microsoft Office (Word, Excel, PowerPoint). Strong oral and written communication skills (including editing). Strong research and report-generating skills.
