Senior Corporate Paralegal The candidate will draft and review/revise agreements, certificates, consents and various other legal documents for large transactions, as well as coordination with clients and opposing legal counsel during these transactions to finalize those agreements. Guide and advise clients, under the supervision of the partner, relating to corporate regulations. Prepare of complex Excel charts for clients relating to how funds flow to stockholders in a liquidation, sale or merger (which requires advanced mathematical skills and use of advanced Excel formulas). Creation and maintenance of capitalization charts and pro forma charts to project future stock effects on shareholdings. Analyze new client files for errors and issues from prior legal counsel, which requires knowledge of corporate legal procedure. Research federal and state securities laws and keep up to date on changes to corporate and securities laws. Prepare formation documentation for corporations, limited liability companies and partnerships. Manage large loan transactions, including preparing schedules, exhibits, certificates and consents to loan agreement, interview client personnel to obtain necessary background factual and financial information, and work with client and opposing legal counsel to finalize transaction. Assist with due diligence tasks including reviewing corporate formation and governance documents for compliance with legal requirements and corporate standards. Train and mentor junior paralegals and case clerks. Actively participate in client development and management. Bachelor’s degree is required. Prior job experience of 3-5 years, resulting in a good understanding of legal procedure, legal documents and the functions of various city governmental departments is required. Should preferably have 7-10 years of prior experience with corporate law. Certificate from an ABA-approved Paralegal training program, or equivalent is required.
