Senior Paralegal The candidate will prepare corporate documents including secretaryâ€™s certificates, resolutions, minutes and other documentation related to Corporate Secretarial functions. Will assist with closings, including debt, equity, mergers and acquisitions. Assist with shareholder maintenance activities, including issuance and cancellation of shares, and stock plan administration. Maintain organization of Companyâ€™s Intellectual Property files. Prepare documentation for formations, amendments, annual filings, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist with preparation of and research for annual proxy statements. Assist with preparation of SEC filings (Forms 3, 4, 5 and 8-K). Analyze contracts, leases and other legal documents to summarize key data. Assist with preparation of acquisition documents and closing books. Perform legal and other research as requested. Review and process legal invoices. Manage electronic file organization and document management for Legal Department. Perform general administrative tasks. Bachelorâ€™s Degree and completion of an ABA-approved paralegal program preferred. Should have 7+ years of paralegal experience, preferably with both law firm and in-house experience. Must have outstanding verbal and written communication skills to effectively work with various departments and levels within company. Should have strong Microsoft Office (Word, Excel, PowerPoint, Outlook) and Visio.
