ProfileParalegal The candidate will provide assistance to General Counsel as needed. Will provide legal support and research to Chief Compliance Officer (CCO) on various insurance regulatory and compliance issues related to admitted and non-admitted insurers. Analyze research, summarize results and presents findings to CCO. Assist with drafting company procedures to ensure compliance. Investigate inquiries and complaints received from Departments of Insurance, an insureds or premium finance companies. Contact internal personnel and/or producers to obtain information needed to respond to complaints. Prepare responses and obtain supporting documents. Contact state Insurance Departments to discuss extensions or proposed resolutions. Provide legal support and research with regard to corporate governance matters. Prepare board meeting agendas, draft minutes, resolutions, officer certifications, affidavits and board consents. Maintain corporate books and records. Assist with updates to bylaws and articles of incorporation as needed. Review corporate documentation as needed for CCO or General Counsel. Contact CT Corporation and Secretary of State offices as needed to obtain information on various company entities. File annual and quarterly reports for various corporate entities. Provide legal support for obtaining business background checks and biographical affidavits for corporate officers and Directors. Provide legal support for Finance and Statutory Accounting functions such as legal review and assistance with the preparation of annual and quarterly financial statements, banking, financial examinations and independent audits. Provide support as part of annual surplus lines data call, including researching broker license numbers and premium reporting. Responsible for ensuring annual re-licensing requirements are met. Provide legal support and research with regard to Holding Company Act compliance, including identifying activities requiring regulatory approval and the preparation and filing of annual and prior approval registration statements. Support General Counsel with respect to Investment Management Agreements and Intercompany Agreements. Support Compliance function during Market Conduct Examinations, annual conflict of interest/code of ethics certification, OFAC screening. Support agent licensing function through background investigations, license verifications and management of appointment process and renewals. Provide legal support for various projects related to process improvements, risk management, document imaging (IBPM), record retention, financial transactions, implementation of new laws, reinsurance, agent for service of process, due diligence, corporate investigations and subpoena requests. Identify system issues and suggest changes to GC. Maintain files, status lists and diary system. Liaise with company officers and management, internal personnel and outside counsel to accomplish various projects and goals. Bachelor's degree, Paralegal Certificate from ABA approved institution is required. Insurance certification is needed. Must have 6+ years of legal experience. Should have knowledge of insurance law, business organizations, corporate law, commercial real estate and contracts. Should have excellent research skills and competent in use of Westlaw. Ability to prepare memoranda to analyze, summarize and apply research is essential.
