The Paralegal will assist the Legal Department in its Corporate Governance and insurance Holding Company Act compliance, and related matters, including, but not limited to preparation and maintenance of board and committee materials; preparation, maintenance and filing of periodic regulatory filings; and researching legal questions relating to corporate governance and insurance regulatory filings. The position requires collaboration with coworkers, business partners and attorneys to coordinate and perform tasks proficiently with guidance from a supervising paralegal.

Accountabilities: Stay abreast of requirements for periodic insurance regulatory filings. Research insurance regulatory filing requirements when episodic events occur, such as a change of external auditor. Respond to and work closely with business unit representatives in Treasury and other areas when KYC or certified resolutions are necessary. Under direction of supervising paralegal: Collect, review and compile board and committee materials to prepare for board and committee meetings Collect information and create resolutions for the board and committees to pass Collect information and create written consent resolutions between meetings, as required Maintain records of board/committee materials, meeting minutes and resolutions Legal Research of insurance laws/regulations and other relevant corporate governance requirements other matters as assigned by supervising paralegal and attorney. Under direction of supervising paralegal: Collect and review information from across the organization to prepare insurance regulatory filings Based on information collected, draft Form Bs, Form Fs, CGAD, etc. Ensure that periodic insurance regulatory filings are submitted on-time with each applicable regulator.

Qualification and Experience Qualifications and Experience: Bachelor’s degree, associate degree, paralegal certification or equivalent educational or employment experience. A minimum of three years of legal experience in an insurance holding company system. Work effectively as a member of a legal team, including colleagues in other areas of the Company. Demonstrate strong work ethic with attention to detail, along with a high degree of professional ethics and integrity. Ability to establish, develop and manage effective working relationships at all levels of the organization, act as a liaison with and communicate to various business partners. Ability to adapt to change and deal with competing time pressures.
