A law firm seeks an experienced Associate Attorney to join its Business Group in Seattle, WA. This role involves providing legal guidance to a range of clients, from startups to well-established companies, across various industries. The attorney will manage complex transactions, including entity formation, capital raises, and governance matters while collaborating with a team of talented professionals across multiple office locations.

Duties

  • Advise clients on entity selection, formation, and development of organizational and governance structures.
  • Support clients with day-to-day legal needs, spanning both small and large businesses.
  • Manage capital raising transactions, including private offerings, debt, and equity financing through diverse investor groups, such as angel investors, venture capital funds, and traditional banks.
  • Provide additional guidance on public company matters, capital markets, and mergers and acquisitions (M&A).
  • Collaborate with attorneys across different offices to deliver integrated and high-quality legal solutions.

Requirements

  • Experience: 3+ years in corporate governance, capital raises, and counseling on entity formation, with added experience in public company issues, capital markets, or M&A as a plus.
  • Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: High proficiency in analytical thinking, organizational management, and legal writing.
  • Client Service: Client-focused approach with excellent interpersonal and communication skills.
  • Teamwork: Enthusiastic about working within a diverse team and supporting collaborative goals.
  • Project Management: Capable of managing multiple projects with attention to detail and responsiveness.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

  • Active license to practice law.
