Director, Corporate Counsel - Technology and Software Duties: The candidate reviews, drafts, and negotiates software licenses, data privacy agreements, client engagement agreements, and confidentiality agreements. May be called upon to create or review partnership, white label, alliance, and design partner agreements. May be called upon to assist aligning terms and conditions of an acquired business's client base with then current standards. Understanding of CCPA and TCPA privacy requirements highly desired. Previous experience with data governance, data metrics, and/or data reporting preferred. Reviews and approves vendor agreements as requested. Reviews, drafts and negotiates technology and strategic sourcing contracts. Prepares contract templates and administers other legal matters. Serves as the Legal Department liaison to specific technology and software practices within the Firm. Reviews outside legal counsel invoices for appropriate billings, amounts and scope. Tracks and monitors outside legal expenses, and timely submits for payment with the appropriate descriptions. Drafts and reviews select Firm Policies and Procedures. Meets KPIs established for the Legal Department. Facilitates meetings and negotiations. Provides legal expertise to internal departments as needed. Obtains appropriate clearance and approvals for projects, third-party engagements, and expenses. Interprets laws, rulings, and regulations for the Firm. Assists with other projects as needed. May support legislative research. Meets KPI's established for the Legal Department. Is able to multi-task and work efficiently in a fast-paced environment with multiple stakeholders. Can prioritize work independently. Seeks appropriate approvals through authority levels. Maintain constructive relationships with clients, stakeholders and peers and work collaboratively to identify and assess options for resolving compliance issues. Collaborate and build positive, productive relationships with team members at all levels across the legal department and the service delivery teams. Able to work without a roadmap and be agile in ambiguous settings. Persistent in driving projects and facilities follow-up when others are involved to obtain timely results. Appreciates the value of continued learning with a growth-mindset. Is able to align with company protocols and preferences. Seeks insights from others for best work product. Shares knowledge with others in a manner that enables team growth. Manage and evaluate outside counsel in execution of strategies in representation. Monitoring changes to ensure best practices are recommended and relevant compliance is being met, and audit for compliance with laws. Advises on select risk management matters. Obtains appropriate clearance and approvals for projects, third party engagements, and expenses.
Qualification and Experience
Qualifications: The candidate should have a J.D. degree from an accredited law school and license to practice law in the State of Texas. Membership to the American Bar Association and Association of Corporate Counsel preferred. Must have 10+ years of related experience and/or training in a similar environment; or equivalent combination of education and experience. Should have intermediate skills in MS Word, Excel, Outlook, and Internet navigation and research. Familiarity with e-billing software, and general familiarity with contract management systems. Knowledge of the following areas preferred: Software licensing, intellectual property, and general technology (tax technology preferred). Software data and content, data security, data use and privacy issues (including CCPA, GDPR and cross-border privacy issues), hosting, cloud computing, and Software-as-a-Service agreements. Private law firm experience preferred.
