Assistant Corporate Secretary The candidate will assist executive leadership individuals and the company as a whole in all of its regulatory reporting and procedures, as well as take care of corporate housekeeping work for the companyâ€™s Board of Directors. Will prepare and maintain all corporate housekeeping documentation for the Board (i.e., resolutions, agendas, minutes, etc.), examiners, and other outside regulators. Maintain all corporate records (i.e., Board and committee minutes, records and reports, governmental and regulatory filings, etc.). Submit relevant applications to various regulatory bodies and respond to any and all information requests from such. Maintain calendar and take care of all deadlines for various regulatory bodies. Liaise with Board members, including providing any administrative assistance and information as necessary. Maintain all officer information. Draft letters of representation to auditors outside the company. Must have 5+ years of experience as an assistant corporate secretary or corporate paralegal capacity, working with a Board of Directors and C-suite executives. Should have BA/BS Degree. Should preferably have paralegal certification is a plus. Proficiency in knowledge surrounding corporate governance and corporate filings, etc is required. Knowledge of the regulatory requirements of the New York Department of Financial Services, including its codes and regulations is needed.
