Legal Counsel
The candidate will provide duties include: Serve as legal counsel for the association and its affiliated companies. Perform legal research and analysis in a wide range of corporate governance and related issues. Draft, review, and revise contracts for CMA and its affiliated entities. Support executive leadership and upper management in negotiating contracts with third parties. Draft, review, revise, research, analyze, interpret, and advise on employment and corporate policies and procedures and related laws and regulations. Support CMA's diversity and inclusion related initiatives and committees. Draft, review, revise, research, analyze, interpret, and advise on bylaws and parliamentary issues for CMA, its affiliated entities, and component societies. Analyze and advise the association and its affiliated entities on issues of legal compliance in the areas of entity formation, corporate governance including non-profit and for-profit entities, tax, risk management, insurance coverage, human resources, data privacy and security, political contributions, and others. Manage corporate litigation and claims and supervise outside counsel in representing the association and its affiliated entities. Other duties as required.

Qualification and Experience

The candidate must have Juris Doctor Degree. Must have active license to practice law in California. Must have 3+ years of corporate law, transactional or in-house counsel experience. Experience or strong interest with diversity and inclusion policies is preferred. Must have strong writing, communication, and collaboration skills. Must be independent, self-starter willing to take the initiative while working effectively in a team. Association or health law experience is preferred.
