Following the increasing demand for our financial services world-wide, we are now looking to recruit a talented Corporate Counsel for our busy legal and documentation office located in North County (Carlsbad), San Diego to join our multinational team and to work directly with our World-wide Chief Legal Officer, Managing Director.

Successful applicants will have at least 2-4 years of legal experience in-house or at a law firm focused in transactions, finance and banking. The successful applicants invited to commence the interview process will preferably have and be able to demonstrate at least some of the following knowledge and skills (in order of importance) relative to domestic and international transactions:

  • Ability to balance and provide solutions for multiple constituencies or competing interests, showing the flexibility and pragmatism to get deals done rather than citing legal impediments
  • Document drafting regarding complex, multi-party financial transactions
  • Working knowledge of financing transactions involving asset-backed securities (receivables)
  • Working knowledge of Article 9 of the Uniform Commercial Code
  • Working knowledge of receivables true sale principles
  • Creating and improving standard templates, developing and rolling out policies and providing associated training to staff
  • International commercial law experience a plus
  • Familiarity with DTCC and Clearstream/Euroclear helpful but not required
  • Some technology transactions (licensing, outsourcing) knowledge helpful but not required
  • Ability to proactively and independently commence and complete projects as a legal professional as assigned by the Chief Legal Officer
  • Willing to learn how to get deals done and how to quickly provide for legal protections relative to that business.

The successful candidate will have strong contract drafting and negotiation skills and a strong general corporate law background. You will have to evince a balance between business and legal skills, with a natural talent to invoke both sides simultaneously, always favoring a path that will get pending business done. You will necessarily have to be a self-starter, entrepreneurial and independent, but willing to take direction.

Once hired, you will demonstrate a willingness to learn all aspects of Orbian's business from the ground up working closely with the firm's Managing Director and Chief Legal Officer, its Sales and Operations staff as well as its finance wing: these will be your internal clients. Externally you will be called upon to directly face supplier clients, banks our collateral trustee and various vendors.

You want to be on a track to increasing responsibility with the goal to take over the firm's legal department as Assistant General Counsel as soon as practicable (1-2 years) and to eventually accede to the office of General Counsel.

You will be able to hit the ground running, learn quickly, work independently, have a business-oriented rather than legally limited vision and possess well-developed instincts and confidence to make a judgment call versus escalating an issue. You will demonstrate an ability to work in teams of similarly driven peers and counterparties to create efficient processes and to get issues resolved internally and across organizational boundaries.

Finally, you will have superior organizational, analytical and written and verbal communication skills and expansive potential and will keep drama to an absolute minimum.

Admission to CA and/or NY Bar required.
