Managing Director, Legal Counsel - Commercial/SLED/Public Sales The candidate will join a team within company that provides legal support for the Eastern Region of company’s North America Commercial business. Will support both large commercial transactions as well as complex sales agreements with state and local governments and their agencies and subdivisions within the Eastern Region. Manage a team of contracts professionals who serve as the primary Legal escalation point for sales agreements. Provide direct support to senior executive business clients. Interact directly with senior representatives of commercial and state and local government customers on a variety of matters, including contract escalations and compliance issues. Respond to internal and external legal inquiries, dealing directly with internal clients, including senior executives, customers, and government agencies. Collaborate with Sales, Operations, Finance, Tax, Insurance, Privacy, IT Security and other Legal groups to address escalations from teams and manage approvals as needed. Provide support to Account Management teams on sales transactions while balancing customer demands with company’s risk tolerance and business needs. Review, negotiate and draft legal documents. Recommend changes to organizational policies/procedures involving legal issues. Coordinate legal matters handled by outside counsel. Convey complex and legally complicated information to Business Leaders, clients and colleagues in a concise and professional manner.
Qualification and Experience
The candidate should have a J.D. degree with 8+ years of relevant experience. Should be a commercial attorney with relevant experience in a law firm, in-house corporate legal department, or government agency supporting government procurement. Expertise handling negotiations and drafting contracts is required. Significant knowledge of commercial contracts terms common in the information technology industry is needed. Experience in negotiating hardware sales, software licenses, SaaS agreements and other technology-related agreements is preferred. Experience supporting sales to or procurement by government entities is an asset. Prior experience supporting sales to or procurement by government entities is strongly desired. Must have significant experience negotiating and drafting commercial agreements, strong management skills and senior leadership potential.
