VP - Associate General Counsel Duties: Responsible for contracting, including sales, client, vendor, leases, and procurement. Responsible for assisting the General Counsel on business and regulatory matters, all litigation or legal demands involving or affecting the company (directly or indirectly). Help direct and protect all departments in the Company regarding legal issues. Ensure all Company polices conform to legal standards and legal requirements on the business. Reviews all contracts entered into between the company and all outside vendors. Assists General Counsel and management on general contracts, third-party agreements and vendor supplier relationships. Manages/coordinates with external counsel. Assists General Counsel with employment law concerns, contracts, claims, disputes, litigation management and creating company policies. Creates business legal reports and correspondence, and effectively presents information to senior management and General Counsel. Assists in informing and advising the company of ongoing legal matters affecting the company, including the progression of litigation, claims potential settlements, evaluations of case strength and/or company exposure, and the like. Assists in the coordination with senior management across the organization to ensure that each business unit is advised of the current status of the law affecting such unit, in order to increase business compliance with state and federal regulations and to minimize the companyâ€™s exposure to otherwise avoidable adverse legal consequences. Provides leadership and direction through vice presidents, directors and/or managers, and exempt staff. Carries out supervisory responsibilities in accordance with Santanderâ€™s policies and applicable laws. Responds to inquiries from regulatory agencies, customers and the business community.
Qualification and Experience
Requirements: JD Degree from accredited school and admission to state Bar, preferably Texas. 6+ years of applicable law practice/in-house experience. Healthcare experience preferred. Highly developed risk assessment and decision making skills and abilities, including to think strategically on legal and business issues to deliver quality and timely legal advice and services to mitigate risk and provide business counsel. Excellent time management and organizational skills, along with ability to manage shifting priorities and demands. Self-starter and a creative, strategic thinker with excellent judgment skills. Responds to inquiries from regulatory agencies, customers and the business community. Demonstrated leadership skills with the ability to motivate team members. Strong written and verbal communication and conflict resolution skills. Excellent organizational and time management skills with strong attention to detail. Confidentiality with privacy sensitive customer and employee documents.
