Profile

Corporate Paralegal
The candidate will provide corporate, compliance, administrative, and other necessary support to the SVP & General Counsel/Corporate Secretary. Assist in the preparation and review of Board and committee meeting agendas, materials, including minutes, resolutions, and written Board and Shareholder consents; post materials to the Board’s electronic portal. Maintain corporate minute books, corporate records and other governance materials for each corporate entity and prepare and submit annual reports and other corporate regulatory filings. Assist with annual proxy process and annual policyholder meeting. Assist with corporate governance matters, policies, projects and research. Serve as an initial point of contact for internal requests for corporate documentation. Maintain Conflict of Interest Questionnaires. Perform special projects and ad-hoc items to support the legal department as needed.

Qualification and Experience

The candidate should have a Bachelor's Degree. Paralegal Certification required. Minimum of 7 years of experience as a corporate paralegal (in-house or in a law firm) preferably in insurance/financial services. Advanced proficiency in Microsoft Word, Excel, and PowerPoint. Experience with Diligence Board Books or similar Board portals. Self-starter with a sense of urgency, excellent organizational skills and strong attention to detail. Excellent written and verbal communication skills. Must be able to handle highly-sensitive information and maintain confidentiality at all times.
The position requires discretion, broad judgment, independent thinking, strong organizational, interpersonal and problem-solving skills, and ability to work cooperatively with internal teams.
