Legal Counsel - Digital and Strategic Offerings - PP and Emerging The candidate will work with global PP and Emerging Technology business teams to evaluate and prepare new offerings for market. Will learn and understand the technology related to the offerings sufficiently to perform all legal roles related to the offering. Draft, review and negotiate complex alliance and vendor technology transactions related to the offerings. Develop clear communication messages, guidance, templates and trainings regarding the offerings for the product development, sales and the contracting legal teams that lead client facing contracting efforts. Maintain strong collaborative relationships within the business and Legal organizations. Should have a J.D. or equivalent Law degree with license and active membership of a Bar. Must have 6+ years of experience leading complex technology transactions or product counsel work in a law firm or in a fast-paced corporation or military legal group. Should also have 3+ years of experience leading the drafting and negotiating of technology focused client facing and/or vendor facing agreements including cloud computing, license, software-as-a-service, and development agreements with 2+ years of experience advising product engineering and commercial teams on how to bring new offerings to market in a legally compliant and strategic manner. Engineering or software background or relevant experience in a Legal product development role is preferred. Training experience and fluent knowledge of the software development process, transactional licensing and SaaS is desired. Computer programming background, with perhaps a prior software industry experience would be a desirable. Strong skills in structuring and negotiating software, cloud computing and software as a service deals. Both supplier and customer sides are an asset. Knowledge of software product development issues, including third party components, integrations and open source issues is a plus. Should have understanding or willingness to learn applicable regulatory landscapes as required for offerings. Awareness of data protection and privacy laws and their interplay with product development and deployment is desired. Experience working with data licensing, artificial intelligence, quantum computing, IOT, blockchain, or other cutting-edge technologies is an asset.
