This role involves working on a range of transactions, including technology-related agreements, mergers and acquisitions, and intellectual property matters. The ideal candidate will possess a strong understanding of the technology sector and be adept at managing complex projects while advising clients on a variety of corporate and legal issues.

Duties

  • Conduct legal research, structure, draft, and negotiate various technology agreements, such as licensing, e-commerce, and service agreements
  • Handle multidisciplinary transactions, including mergers and acquisitions, private equity, and secured financing
  • Advise clients on intellectual property and corporate matters within the technology sector
  • Develop and maintain client relationships, providing strategic legal guidance that aligns with their business objectives
  • Stay updated on emerging trends and regulations in technology and integrate them into client strategies
  • Participate in business development activities, including networking events, seminars, and article writing
  • Utilize data rooms and manage CAP tables; experience with CARTA is a plus

Requirements

  • Minimum of 4 years of experience in technology-related corporate law
  • Proven expertise in drafting and negotiating technology agreements and handling multidisciplinary transactions
  • Ability to work independently and collaboratively within a team
  • Familiarity with privacy and data security laws is highly beneficial

Education

  • Juris Doctor (.) degree from an accredited law school

Certifications

  • Active membership in good standing with the Maryland State Bar

Skills

  • Proficiency in Microsoft Office Suite, especially Word, Excel, and Outlook
  • Strong organizational and multitasking skills with attention to detail
  • Excellent written and verbal communication skills
  • Familiarity with document black-lining, version control, and proofing
  • Comfortable using virtual communication platforms such as Zoom and Teams
