Corporate - General

Corporate Paralegal The candidate will be responsible for assisting the General Counsel with all duties associated with the office of General Counsel, including: Assist General Counsel with board meeting preparation and upload of board materials. Assist General Counsel with corporate governance matters, including disclosure controls and related procedures. Assist General Counsel with litigation matter case tracking and reporting, including preparation of quarterly reports. Assist General Counsel in maintaining public company corporate minute books and records, and those of its subsidiaries, and related business entity filing and information databases. Assist General Counsel and external legal counsel with gathering documents/information for the purposes of government agency responses and litigation. Gather and prepare information in response to requests/subpoenas from government agencies and third parties, and respond to subpoena requests in a timely manner. Determine and/or make recommendations regarding responses to document requests and subpoenas. Efficiently track and manage company data and documents in a timely and organized fashion. Organize and maintain case files, pleadings, and other documents. Work with regulatory authorities to update and maintain company entities. Assist General Counsel with reviewing, revising, and proofreading commercial contracts and entering contracts into contract management database. Work with various departments to obtain information for specific legal projects. Transmission of legal documents for filing with regulating authorities. Create presentations in PowerPoint with embedded media, and compile presentation and training materials. Assist General Counsel in managing legal file system. Special projects as assigned, including transaction-related projects and due diligence.
Qualification and Experience
The candidate should have Bachelor’s degree or preferred Paralegal certification from an accredited Paralegal Studies program. Should have 5 years of experience as a paralegal, with 3 years of corporate law, supporting an attorney(s). Must have experience working with members of a board of directors. Must have advanced knowledge of computer systems and software, particularly Microsoft Word, Excel and PowerPoint, and a strong ability to navigate through any business related software. Should have knowledge of Serengeti legal billing platform (or other similar legal invoicing technology). Must have knowledge of BoardVantage board meeting platform (or other similar board communications technology). Should have advanced knowledge of corporate record keeping, including minutes and corporate record books. Familiarity with public company corporate governance is required. Familiarity with securities filings to report changes in stock ownership (Form 3s, 4s, etc), and related reporting software platforms (such as Netfiler) is needed. Should have familiarity with contract review processes. Must have excellent skills in managing electronic and paper files.
