A law firm in Harrisburg, PA, is seeking a skilled Corporate Funds and Private Equity Associate Attorney to join their team. The successful candidate will bring 4-6 years of experience in investment funds and investment management, with substantial expertise representing private equity sponsors and/or agents in various transactions. The role requires creativity, a solutions-oriented approach, and strong analytical and writing skills. Candidates must be licensed and in good standing in the state of Pennsylvania.

Duties and Responsibilities:

• Provide legal counsel on matters related to investment funds, including private equity, hedge funds, and venture capital funds.
• Represent private equity sponsors and agents in a wide range of transactions, including fund formation, capital raising, and investment structuring.
• Draft and negotiate complex legal documents such as limited partnership agreements, subscription agreements, and offering memoranda.
• Conduct detailed legal research and prepare comprehensive reports, memoranda, and correspondence.
• Assist in the structuring and negotiation of investment transactions, including joint ventures, mergers and acquisitions, and strategic investments.
• Offer guidance on compliance with securities laws and regulations affecting investment funds and private equity transactions.
• Collaborate with colleagues to develop and execute effective legal strategies for clients.
• Stay informed about changes in investment fund law, private equity trends, and regulatory developments to provide timely and relevant advice.

Requirements:

• 4-6 years of experience in investment funds and investment management.
• Substantive experience representing private equity sponsors and/or agents in various transactions.
• Demonstrated ability to handle complex legal issues related to investment funds and private equity.
• Creative and solutions-oriented with strong analytical and problem-solving skills.
• Excellent writing and communication skills.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Licensed and in good standing to practice law in the state of Pennsylvania.
