ProfileSenior Counsel, Advertising and Trademark The candidate oversees, manages and is responsible for legal oversight of omni-channel marketing and advertising and intellectual property (including the trademark portfolio), and will advise internal clients and senior management on legal risks related to these areas and develop strategies to mitigate those risks. Also assist CCO with privacy issues. Will generally work closely with and under the guidance of the General Counsel and the Assistant General Counsel and Chief Compliance Officer; however, s/he will be expected to act as a â€œfirst chairâ€ for significant and complex marketing, advertising, and trademark matters. Will be expected to interact with and provide the Companyâ€™s business stakeholders with legal advice commensurate with the Companyâ€™s business objectives and strategies and therefore must possess a high degree of practical business acumen and extensive experience applying that business acumen to legal issues and risk. Ensure compliance with U.S. and foreign laws and regulations. Review domestic & international consumer facing advertising materials. Draft terms and conditions and rules for various promotions, including contests and sweepstakes. Maintain and enforce privacy and information security policies, standards, and procedures. Review internal and franchisee facing materials. Review press releases. Review agreements such as talent agreements, advertising agency agreements, etc. Manage trademark portfolioâ€”liaise with outside counsel on maintenance and renewals; assist with responses to office actions. Perform preliminary trademark searches. Manage trademark enforcementsâ€”oversee watch notice review, review non-standard cease and desists, compile evidence in support of oppositions and infringement lawsuits. Advise clients (domestic and international) on proper trademark usage. Internet Watch Programâ€”oversee online brand protection program. Draft and negotiate intellectual property license agreements. Assist CCO with ensuring compliance with privacy laws. Advise on legal requirements for mobile and text/SMS practices. Manage senior paralegal direct report including assigning projects and monitoring workload and work product, establishing objectives, measuring results, and ensuring employee accountability and development. Some US and international travel may be required.
Qualification and Experience
A JD and Bar membership is required. Should have 8 years relevant experience in trademark and advertising law, with interest in developing knowledge of other areas. Must have extensive knowledge of copyright, trademark, and advertising/promotions laws and regulations. Must be self-starter with a willingness and ability to assume â€œfirst chairâ€ legal role in trademark and advertising/promotions matters. Should have ability to prioritize, coordinate and satisfy numerous competing demands and successfully achieve deadline driven results that effectively achieve business objectives. Industry experience in the hotel/hospitality/franchise industries significant plus. Should have excellent drafting and negotiating skills. Strong business acumen, problem solving skills and legal judgment is required. Must have ability to think creatively and work cross-functionally with various teams â€“ Contracts, Franchise, Marketing, PR/Communications, International, Procurement, etc. Must possess exceptional organizational skills. Should be solid team player with superior interpersonal skills and the ability to collaborate and deal effectively with others, including senior management, peers, support staff and internal clients.
