Profile

New York City office of an AmLaw firm seeks senior corporate mergers and acquisitions/private equity lawyer with 2+ years of experience. The candidate will oversee multi-disciplinary and multi-jurisdictional legal teams with regards to domestic and cross-border public and private Mergers and Acquisitions (M&A) transactions involving strategic acquirers and financial sponsors from the U.S., U.K., E.U. and Australia, including mergers, joint ventures, stock and asset acquisitions and divestitures, leveraged buyouts, carve-out transactions, initial public offerings, minority investments, refinancings, recapitalizations and corporate restructurings. Will advise U.S., U.K., E.U. and Australian clients, including corporations, private funds, investment banks and boards of directors on contested mergers and acquisitions transactions, acquisition planning and takeover preparedness. Advise clients on actual and potential obligations under the U.S. Sarbanes-Oxley Act of 2002 and the Australian Corporations Act 2001 (Cth). Advise on corporate governance, capitalization and equity issues, securities laws compliance, and general corporate, compliance and corporate secretarial matters. Draft, negotiate, review and finalize transaction agreements, including merger agreements, plans of mergers, and schemes of arrangement, stock and asset purchase agreements, shareholder agreements and joint venture agreements, transition services agreements, equity conversion documentation including rollovers and redemptions, collateral/security agreements, spin-off arrangements, change of control arrangements and internal reorganization documentation. Draft, review and finalize debt/equity instruments, including stock certificates, unit certificates, promissory notes and warrants. Oversee employee/benefits arrangements and agreements including director and officer arrangements, stock options and other equity awards, incentive plans and insurance. Supervise due diligence investigations and reports and oversee filing of compliance documents, including corporate formation documents and antitrust filings. Experience must have involved overseeing multi-disciplinary and multi-jurisdictional legal teams w/ regards to domestic and cross-border public and private M&A transactions involving strategic acquirers and financial sponsors from the U.S., U.K., E.U. and Australia, including mergers, joint ventures, stock and asset acquisitions and divestitures, leveraged buyouts, carve-out transactions, initial public offerings, minority investments, refinancings, recapitalizations and corporate restructurings; advising U.S., U.K., E.U. and Australian clients, including corporations, private funds, investment banks, and boards of directors, on contested M&A transactions, acquisition planning and takeover preparedness; advising on actual and potential obligations under the U.S. Sarbanes-Oxley Act of 2002 and the Australian Corporations Act 2001 (Cth); and overseeing employee/benefits arrangements and agreements including director and officer arrangements, stock options, incentive plans and insurance. Must be admitted to NY State Bar.
