CORPORATE TRANSACTIONAL PARALEGAL
Duties: Reviewing corporate records, obtaining corporate documents from and filing documents with the Secretary of State. Preparing corporate certificates and schedules to transactional documents. Perform corporate searches and maintain corporate records. Prepare and maintain closing checklist and documents. Organize data rooms and due diligence materials. Prepare corporate formation and governance documents. Preparing and distributing closing binders for transactions. Contract management and document tracking. Ensuring legal records and department work product are effectively organized. Assisting with regulatory licensing and compliance matters, including assembling necessary applications for various entities and filing annual reports. Attend Firm sponsored training(s) to maintain required skill level and knowledge of software applications and other skills as requested. General legal department administrative tasks including, drafting correspondence, updating/closing files, filing, photocopying and calendaring. Filing real estate and corporate documents, including deeds, memoranda of leases, UCC financing statements, etc.

Qualification and Experience

Qualifications: Bachelor’s degree and/or paralegal certification preferred, with minimum of 2 years business and corporate legal experience. Some real estate experience preferred. Advanced working knowledge of Word, Excel, Outlook, PowerPoint and Adobe Pro. Experience with document intensive cases and strong proficiency working with databases is preferred. Ability to prioritize, multitask and work under pressure to meet deadlines is critical. Excellent writing and proofreading skills, high level of professionalism, dependability, initiative and adaptability and strong attention to detail.
