Job Overview: A law firm is seeking a highly motivated and experienced mid/Senior-Level Public Mergers and Acquisitions Associate Attorney to join its dynamic team in Los Angeles, CA. The ideal candidate will possess 3-6 years of relevant experience and a strong background in mergers and acquisitions transactions involving public companies. This role requires exceptional academic credentials, comparable law firm experience, and outstanding communication skills.

Key Responsibilities:

  • Handle mergers and acquisitions transactions, focusing on public companies on both the sell-side and buy-side.
  • Advise clients on securities laws and related regulatory requirements.
  • Draft, review, and negotiate various transaction documents, including merger agreements, asset purchase agreements, and stock purchase agreements.
  • Conducted due diligence investigations and managed due diligence processes.
  • Collaborate with other attorneys and legal staff to ensure seamless and efficient transaction execution.
  • Provide strategic legal advice to clients on complex M&A issues.
  • Ensure compliance with all relevant laws and regulations.
  • Manage and mentor junior associates and legal support staff.
  • Participate in business development activities and foster client relationships.

Requirements:

  • 3-6 years of general mergers and acquisitions and transactional experience.
  • Strong focus on mergers and acquisitions transactions involving public companies.
  • Outstanding academic credentials from a top-tier law school.
  • Comparable law firm experience with a proven track record of success.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
  • Strong analytical and problem-solving skills.

Education:

  • Juris Doctor (.) degree from an accredited law school.
  • Strong academic performance and credentials.

Certifications:

  • Relevant CA Bar admission (or eligibility to obtain admission promptly).
