General Counsel DUTIES: Serves as a member of the executive team, working with that team and the legal team to set the strategic direction of the business. Supports and advises leaders in a wide variety of areas, including commercial, corporate, M&A, antitrust, trade compliance, anticorruption, litigation, regulatory, labor & employment, intellectual property and overall legal risk. Manages a team of legal professionals; responsible for legal team engagement and career development; provides strong direction to contracts management team worldwide. Develops and negotiates a broad range of contracts involving purchases, sales, leases, licenses, insurance and varied legal matters. Structures, negotiates and drafts a variety of software licensing and software-as-a-service (“SaaSâ€) agreements. Assumes a leadership role in directly communicating with third parties and their counsel to negotiate contract terms and conditions and resolve contract issues. Provides advice and training to business leaders in the implementation of a wide range of policies and procedures, including Standards of Conduct, Anti-Corruption and other policies, product compliance requirements, US Customs regulations, Export Administration, Office of Foreign Assets Controls, anti-boycott and other government agency requirements. Manages risk assessment program and regulatory approach; leads on significant compliance investigations. Provides legal leadership on M&A and other strategic activities, including acquisition due diligence and post-closing integration. Supports all areas of the organization, including HR, Trade Compliance, Operations, Engineering and Finance. Manages litigation involving Corporation, including preparing discovery and management of outside counsel, and provides updates on litigation, claims and other significant legal matters to management and the legal team. Manages intellectual property legal strategy and associated considerations worldwide. Provides training on Standards of Conduct, legal escalation, antitrust law, trade compliance, and other legal related issues to associates. Manages outside counsel in all regions of the world, including negotiating favorable rates and fee arrangements, setting legal budgets and tacking, managing, and controlling legal spend, to ensure high quality, cost-effective legal support and representation.
Qualification and Experience
Qualifications: JD Degree from an accredited law school with strong academic credentials. Member of at least one state bar and ability to qualify to provide in-house legal advice in Pennsylvania as required. 10+ years of legal experience, with a strong preference for in-house counsel experience in a leadership role with international companies and/or major law firms; prior experience preferred in: antitrust, trade compliance, intellectual property, legal and regulatory compliance, labor and employment, and anticorruption . Fluent in English; additional language skills preferred. People management experience, and experience with manufacturing and SaaS based businesses, strongly preferred. Must possess unquestioned integrity and excellent judgment; must be able to provide pragmatic legal advice to senior management and evaluate and address risks across a range of legal issues. Must be a natural leader who has executive presence and is able to build trust with senior executives, and knows how to motivate and develop people. Must possess excellent verbal and written communication skills, with ability to convey advice on complicated subject matters in a compelling way to a range of audiences. Must be process-oriented and able to build sustainable standard work and systems. Must have strong capabilities to spot legal issues and correspondingly strong capacity to communicate solutions or paths to resolution; must a practical problem-solver. Must be capable of working independently and collaboratively, as a leader, individually and as a team player, across “matrixed†legal and business organizations; must be willing to take on a wide range of strategic and tactical tasks. Must have strong organizational skills, with ability to handle many complex issues simultaneously, prioritizing and effectively managing time. Must be able to work cross-functionally, have cultural sensitivity and influence others both internally and externally to the organization across the world (including Finance, HR, Operations, and Commercial). Must possess strong attention to detail, including the preparation, management and tracking of complex agreements and other documentation.
