Job Overview

Veterinary Business Advisors, Inc. (“VBA”) seeks a Corporate Attorney licensed to practice in either New Jersey, Pennsylvania or New York with 5+ years of experience in corporate / business and transactional matters including a minimum of 3 years relevant Mergers and Acquisitions activity both working on teams and managing components of transactions independently through closing.  The Corporate Attorney will draft and advise on a variety of contracts across the business, focusing on M&A transactions, employment agreements, real estate / lease agreements and other related transactional documents.  To be successful in this role, the ideal candidate must frequently communicate issues clearly and persuasively in both oral and written format to advise clients, manage client relationships and confirm client expectations.  This is an excellent opportunity for someone seeking to transition from a law firm or larger company to a thriving family feel niche practice. This is a fulltime position with expected billable annual hours of at least 1500 hrs. In addition, the Corporate Attorney will not be responsible to build a clientele base.

Job Duties

  • Independently managing, including drafting and negotiating, a wide range of transactional documents, including asset purchase agreements, letters of intent, commercial leases, real estate transaction agreements and other related business agreements.
  • Frequent client interaction, responsible for client matters, must be pragmatic and solutions orientated.
  • Counseling and advising clients, including providing strategic legal advice on complex and novel issues, and providing guidance on existing agreements.
  • Managing and coordinating outside counsel relationships, when necessary.
  • Ability to manage multiple transactions, take on new responsibilities, handle unique issues, prioritize competing demands while maintaining attention to detail and meeting deadlines is critical.
  • Strong research skills.  Will be expected to provide insight on other matters including commercial contracts, regulatory compliance, and employment matters.

General Requirements and Competencies

  • Strong drafting and revision skills on paperless platform.
  • Demonstrates high level of business and general financial acumen.
  • Excellent technology skills, including working with Microsoft Office Suite (Outlook, Word, and Excel), Adobe, and has the ability to work paperless.
  • Ability to work effectively both in teams and independently, manage multiple projects, make effective decisions and collaborate with clients.
  • Ability to work in a fast-paced environment with minimal supervision.
  • Excellent analytical, verbal/written communication and attentive listening skills.
  • Practical lawyering sense, including the ability to balance risk considerations and commercial needs.
  • Highly organized with capacity to be agile and pivot appropriately when challenged with new information or evolving circumstances in order to prioritize workload efficiently.
  • Multi-task effortlessly without slipping on quality of performance or outcome.
  • Demonstrate solid project management skills.
  • Ability to interact and communicate effectively while building relationships with all levels of staff, including senior management to drive business results and provide client satisfaction.
