Vice President , Associate General Counsel, Mergers And Acquisitions The candidate will report to the Senior Vice President and General Counsel. Will work closely with, and responsible for, providing counsel and support to firm's Executive Leadership and Business Development Team. Lead the legal aspects of all M&A activities across the enterprise. Responsible for forming and managing a cross-functional legal team to support transactions including mergers, acquisitions, stock purchases, equity investments and divestitures, joint ventures and strategic alliances. Manage outside counsel and internal legal specialist teams as needed to achieve successful results. Work very closely with the General Counsel and Senior Leadership on all material deals and negotiations. Work with the Treasury and Business Development on a continual basis and be an integral member of the assessment, business development team. Provide both strategic and tactical support and will serve as a strategic legal partner to firm. Responsible for facilitating the business objectives of the Company by providing timely and effective legal support, as well as minimizing potential legal exposure and risk. Serve as a trusted advisor and commercially astute business partner. Lead and support all legal aspects of transactions of varying degrees and nature across the company. Manage an active M&A portfolio and antitrust matters. Work collaboratively across a broad range of people developing and maintaining strong working relationships between legal, finance, human resources, investor relations and other functions to facilitate a team based approach. Draft and review as needed confidentiality agreements, bid letters, engagement letters, term sheets, acquisition agreements, equity commitment letters, debt financing documents and other deal documents. Work with deal teams and leadership to identify opportunities and balance risk. Coordinate and drive the deal cycle and needed professionals both, internally and externally, to achieve thoughtful and successful results. Juggle simultaneous deals and priorities. Proactively communicate and manage expectations with multiple constituencies. Provide strategic guidance and support to senior leadership in connection with a variety of complex transactions and sensitive legal and business issues. Optimize the value received by internal clients and minimize the Company's risk of exposure to liability by proactively partnering with business leaders. Develop long and short-term solutions that take into account the current and future needs of the business. Build a cohesive and collaborative relationship with corporate executives and legal colleagues across the globe. Exercise sound business judgement to achieve a pragmatic balance between the legal function and the Company's strategic objectives. Manage the selection and oversight of outside counsel, control and appropriately manage legal costs.
Qualification and Experience
The candidate should have law degree and obtained an undergraduate degree from a college or university of recognized standing. Should be licensed in good standing to practice law in one state and one federal jurisdiction within the United States without any instances of suspension, revocation, censure or other adverse events in any jurisdiction. Must have successful track record of experience, ideally gained in a combination of working in a major law firm and in-house corporate legal department. Prior work experience with a MedTech company is preferred. Must have successful and proven M&A Attorney with significant mergers and acquisitions and deal related experience within a public company. Extensive and sophisticated mergers and acquisitions training and experience with a top tier law firm is essential. Additional exposure and experience from the healthcare industry, parameters and implications are highly desirable. Experience handling equity transactions, asset purchases, stock purchases, joint ventures and other transactions is essential. Must have management experience, including managing relationships with a diverse group of senior executives, cross functional teams and legal personnel in multiple jurisdictions. A balance of both domestic and international complex deal experience is desired. Solid understanding of securities, corporate and competition law is essential. Must have good understanding of transaction structuring, such as tax and accounting. Excellent written and oral communication skill is essential.
