ProfileLegal Counsel Duties: Delivering timely legal advice in a user-friendly and decisive manner on a wide range of legal, strategic, tactical and operational issues. Working effectively with others within Rolls-Royce to achieve company business objectives. Providing input into the company business planning process, including how the legal environment may affect opportunities and risks. Contribute to a diverse team of legal professionals and other colleagues within the Office of General Counsel (including Legal and Contract administration, Export and Technology Controls, Security, Risk, Compliance and Intellectual Property) to help manage and mitigate legal risk with respect to contracts, transactions or ongoing operations. Developing strong cross-functional working relationships across the enterprise to ensure effective communication and action on key legal issues affecting the business. Ensuring that government and commercial contracts are negotiated within legal parameters, including internal authorizations as well as Truthful Cost or Pricing Data and other applicable laws and regulations. Advising on U.S. Government Acquisition policies, including Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Regulations Supplement (DFARS), Other Transactional Authority (OTA) Agreements and related regulations. Procuring and managing external legal resources within budget constraints, including the selection, and direction of outside counsel, and the management of legal fees and related expenditures. Applying dispute management expertise effectively, while anticipating issues and putting in place measures to minimize risk and exposure. Contributing to knowledge management and training; deploying best practices and sharing knowledge within the company globally. Developing, reviewing, or implementing company-wide and/or functionally specific policies and training programs on legal compliance and other issues related to the functions within the Office of General Counsel. Travelling both domestically and internationally, up to 25% of the time.
Qualification and Experience
Qualifications: JD Degree with 10+ years of experience practicing law at a law firm, in the public sector, and/or in-house with a corporation with international operations. Admission and status in good standing with any State Bar. Experience with working with government contracts, OTAs, procurement, and/or with a government agency, including a strong working knowledge of FAR/DFAR and related requirements. Preferred: 8+ years of experience in a legal, contracts, enterprise risk or commercial capacity. Effective business communication skills, including presentation, facilitation and listening skills. Demonstrated abilities to collaborate with colleagues, and to work well on a team. Demonstrated ability to organize the work on major projects, to influence, lead and work independently. Demonstrated business acumen and experience interacting with colleagues and business leadership, including the ability to communicate clearly and persuasively. Experience working with (i) IP/technology acquisition, protection, licensing and transfers, (ii) regulatory matters, including export controls (ITAR) and trade regulations, and/or (iii) security clearances, Special Security Agreements or other defense security arrangements. Training in LEAN and some experience using IT tools/AI to streamline contract management and legal operations. Currently holding a U.S. DoD Secret level security clearance. Familiarity with Naval and/or Defense Aerospace products. Experience working internationally, in an agile work environment and with a broadly geographically dispersed team. Create an enduring legacy.
