Asst. General Counsel -IP & Technology Transactions
The candidate will provide legal support for all Intellectual Property and technology licensing programs at company (from mining and early development to negotiation and closure), as well as manage patent prosecution of various licensing programs within company. Will handle a wide range of IP-related responsibilities as assigned and supervised by the General Counsel, including participating in business, operational and strategic decisions involving IP strategy and related issues. Manage a large patent portfolio and several active contested proceedings; support of established R&D operations in developing and protecting IP; assessment third parties’ IP; resolving IP issues arising in collaborations; clearance of public disclosure requests; management of outside counsel and supervision and training of staff as required. Leverage advocacy experience to persuasively present before third parties and senior executives and to work collaboratively across internal teams and with company businesses to resolve legal and intellectual property issues. Provide legal support for technology transfer, joint development, and IP licensing programs, including identifying relevant IP portfolios, developing IP and technology programs, asserting IP, negotiating transactions, drafting IP or technology licenses, and facilitating IP sales, acquisitions, and investments. Manage worldwide patent prosecution for various industrial technologies, as well as strategically develop and deploy IP portfolios Collaborate with and supervise outside counsel to enforce and produce high quality IP in a timely fashion. Counsel business executives on protecting technology and IP and on legal impact of business decisions or actions. Counsel business on protecting IP assets. Support technology transfer, joint development and IP licensing programs. Draft, review and help negotiate agreements. Provides legal advice to support client decisions within a specific legal concentration. Develops risk profiles addressing complex specialty law. Refines and builds knowledge from a variety of resources, working towards becoming an expert within a specific legal concentration, and shares knowledge with other team members. Identifies, analyzes, and resolves complex legal issues within a specialty area.

Qualification and Experience

The candidate should preferably have BSEE or higher degree. Should have JD or equivalent degree with experience with a major law firm or technology company . Should have ability to quickly understand and evaluate new technologies & products. Should have demonstrated understanding of IP and/or technology licensing business models.
