Director, Ethics & Compliance Counsel: Job Description and Requirements

Synopsys, a global leader in advanced technologies for chip design and software security, is seeking an exceptional Ethics & Compliance attorney to join their growing Legal Department. This role, reporting to the Deputy Chief Ethics & Compliance Officer, requires a seasoned compliance attorney with sound judgment, excellent interpersonal skills, and a pragmatic mindset.


Responsibilities:

- Conduct internal investigations related to potential violations of company policy and/or law.
- Partner cross-functionally to drive programmatic improvements to the global ethics and compliance program.
- Develop a best-in-class Anti-Bribery and Anti-Corruption (ABAC) program to address risks under the . Foreign Corrupt Practices Act and other global ABAC laws.
- Utilize data and analytics for ABAC KPIs and KRIs, and advise on programmatic enhancements.
- Create tailored micro-burst trainings to target key risks.
- Advise on global competition law considerations.
- Monitor changes in compliance-related laws, regulations, and government enforcement initiatives.

Requirements:

- . from an accredited law school, admission to a state bar, and active license to practice law.
- 10+ years of compliance and risk management experience, with in-house experience.
- In-depth knowledge of the . Foreign Corrupt Practices Act and other global ABAC requirements.
- Experience navigating global competition laws, rules, and regulations.
- Experience conducting global internal investigations and responding to governmental inquiries.
- Experience developing and managing ABAC programs.
- Experience with electronic reviews using e-discovery platforms.
- Ability to understand complex issues and provide concise legal advice.
- Excellent interpersonal skills and ability to build strong working relationships with internal stakeholders.

In addition to a competitive base salary range of $203,000 - $350,000, this role may be eligible for an annual bonus, equity, and other discretionary bonuses. Synopsys also offers comprehensive health, wellness, and financial benefits as part of a competitive total rewards package. The actual compensation offered will be based on location, skills, experience, and education.
